Acceptance of Terms
By accessing or using the Saena Health platform, website, or mobile application (collectively, the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Saena Health, Inc. ("Saena Health," "we," "us," or "our"), a Delaware corporation.
2. Description of Service
Saena Health provides a patient-owned health record platform that enables users to:
Aggregate and access their personal health records from participating healthcare providers, hospitals, and laboratories
Store, manage, and organize their health data in a secure, centralized location
Saena Health is a personal health record platform, not a healthcare provider. We do not provide medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional for medical decisions.
3. Eligibility
To use the Service, you must:
Be at least 18 years of age, or have verifiable parental or legal guardian consent
Be a resident of the United States
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Service under applicable law
By creating an account, you represent and warrant that you meet all eligibility requirements.
4. Account Registration
4.1 Account Creation
You must create an account to access most features of the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
4.2 Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at privacy@saenahealth.com if you suspect unauthorized access to your account.
4.3 One Account Per User
Each user may maintain only one active account. Creating multiple accounts to circumvent restrictions or for fraudulent purposes is prohibited.
5. Health Data and HIPAA Compliance
5.1 Nature of Your Health Data
Your health data belongs to you. Saena Health acts as a custodian of your data — we store and facilitate access to your records but do not claim ownership over your personal health information.
5.2 Data Sources
Saena Health integrates with healthcare providers and data networks (including, where applicable, Particle Health and Epic FHIR APIs) using standardized open health protocols including HL7 FHIR R4. By connecting your health accounts, you authorize Saena Health to retrieve and display your records on your behalf.
5.3 Not a Covered Entity
Saena Health operates as a personal health record (PHR) application. Under HIPAA, PHR applications that receive data at the direction of the patient — rather than directly from a covered entity — may not be subject to HIPAA's Privacy and Security Rules. However, Saena Health voluntarily applies HIPAA-aligned security and privacy standards to all health data handling.
5.4 Your Responsibility
You are responsible for the accuracy of any health data you manually enter into the platform. Saena Health is not responsible for errors originating from third-party data sources.
6. Privacy
Your privacy is fundamental to everything we do. Our Privacy Policy, incorporated herein by reference, describes how we collect, use, store, and protect your information. By using the Service, you consent to the data practices described in our Privacy Policy.

We will never sell your personal health data to third parties
We will never use your health data for advertising purposes
You may request deletion of your data at any time
7. Authorized Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
Use the Service to access health records of any person without their explicit authorization
Attempt to reverse engineer, decompile, or otherwise extract the source code of the Service
Upload or transmit malicious code, viruses, or any software that could harm the Service or its users
Misrepresent your identity or impersonate any person or entity
Use automated scripts or bots to access the Service without prior written consent
Attempt to circumvent any security or access controls
Use the Service for any commercial purpose without prior written authorization from Saena Health
8. Sharing Your Health Records
8.1 Your Control
You are in sole control of who can access your health records. Saena Health will never share your records with any third party without your explicit, informed consent — except as required by law.
8.2 Shared Access
If you grant a caregiver, family member, or healthcare provider access to your records, you are responsible for managing and revoking that access. Saena Health is not liable for disclosures made pursuant to permissions you have granted.
8.3 Legal Obligations
Saena Health may disclose your information if required by a valid court order, subpoena, or applicable law. We will make reasonable efforts to notify you before disclosure unless prohibited by law.
9. Intellectual Property
9.1 Our IP
All content, features, functionality, trademarks, logos, and technology on the Service — excluding your personal health data — are owned by Saena Health or its licensors and are protected by applicable intellectual property laws.
9.2 Your Data
You retain all rights to your personal health data. By using the Service, you grant Saena Health a limited, non-exclusive, royalty-free license to store, process, and display your data solely to provide the Service to you.
9.3 Feedback
Any feedback, suggestions, or ideas you provide regarding the Service may be used by Saena Health without restriction or compensation to you.
10. Third-Party Integrations
The Service may connect to third-party services, data networks, or healthcare providers. Saena Health is not responsible for the accuracy, availability, or privacy practices of these third parties. Your use of any third-party service is subject to that party's own terms and conditions.
11. Disclaimers
11.1 No Medical Advice
The Service does not provide medical advice. Nothing on the platform should be interpreted as a substitute for professional medical judgment, diagnosis, or treatment. Always seek the advice of a qualified healthcare provider with questions about a medical condition.
11.2 Data Accuracy
While Saena Health uses commercially reasonable efforts to ensure data integrity, we cannot guarantee that health records retrieved from third-party sources are complete, accurate, or current.
11.3 Service Availability
We do not warrant that the Service will be available, uninterrupted, or error-free at all times. We may suspend or discontinue any part of the Service at any time with reasonable notice.
12. Limitation of Liability
To the fullest extent permitted by applicable law, Saena Health, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of health records, or personal injury — arising from your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising from these Terms or the Service shall not exceed the greater of (a) the amount you paid to Saena Health in the twelve months preceding the claim, or (b) one hundred dollars ($100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Saena Health and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any health data you submit, share, or transmit through the Service.
14. Termination
14.1 By You
You may terminate your account at any time by contacting us at support@saenahealth.com. Upon termination, you may request a full export of your health data before deletion.
14.2 By Us
We reserve the right to suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or pose a risk to other users or the platform. We will provide reasonable notice where possible.
14.3 Effect of Termination
Upon termination, your right to access the Service ceases. We will delete your personal health data within 30 days of account termination, unless retention is required by law.
15. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in Orange County, California, under the rules of the American Arbitration Association — except that either party may seek injunctive relief in a court of competent jurisdiction.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
16. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
